Robyn Coote

Practice Leader Alternative Funds and Specialist Counsel

Robyn is a funds management and financial services specialist who joined PMC Legal in 2018. She has over 15 years of industry experience which she has gained from private practice roles in Sydney and in-house roles in London.  Robyn draws on this extensive and broad experience to deliver commercial, pragmatic and valuable advice to her clients.

Robyn takes pride in understanding her client’s issues and collaborating with them to find solutions as their trusted adviser. Robyn’s clients appreciate her accurate and timely advice and her user-friendly approach to what can often be complicated legal or regulatory areas.

Prior to joining PMC Legal, Robyn was special counsel at Minter Ellison in the alternative investment funds team where she advised a number of Australia’s premier private equity, venture capital and hedge fund managers in their fund establishment, structuring, negotiations with investors (onshore and offshore) and day-to-day operations. In this role, Robyn gained a reputation for being a commercial, responsive and market-leading operator.

Robyn brings invaluable industry and commercial experience having previously spent 5 years working in London for BNY Mellon and JPMorgan Chase Bank where she acted as in-house counsel to various EMEA business lines including funds management, custody, corporate trustee and securities lending.

Robyn advises clients on all aspects of fund formation and capital raising for wholesale and institutional funds primarily in the areas of private equity (including VCLPs), venture capital (including ESVCLPs) and hedge funds. This ranges from initial fund structuring advice, offer documents and fund establishment, negotiations with cornerstone investors, regulators (including Industry, Innovation and Science Australia) and service providers and establishing carry trusts. Robyn also acts for large institutional investors on their (often complex and bespoke) investments in Australian and offshore funds including domestic and foreign government investors and large super funds. She also advises on financial services laws and processes including licensing (AFSL applications), disclosure requirements, the appointment and removal of trustees, custodians and fund administrators and fund wind-up.

Prior to finding her taste for financial services, Robyn was an insurance litigator at Norton Rose Fulbright where she learnt the art of quick thinking and attention to detail.
